RaylexFlow Terms of Service & End User License Agreement (EULA)
These Terms of Service & End User License Agreement (collectively, the “Agreement” or “Terms”) govern your access to and use of the RaylexFlow platform, owned and operated by RaylexFlow (“we,” “our,” “us”), a business messaging SaaS and CRM platform enabling businesses to communicate with their customers over WhatsApp and related channels.
Please read these Terms carefully before using our platform. By creating an account, accessing, or using RaylexFlow in any way, you agree to abide by these Terms from the date you first use the platform (“Effective Date”). If you do not agree, you must immediately stop using the platform.
• Any related software, services, and documentation
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the platform for legitimate business purposes, subject to these Terms.
You may not sublicense, sell, or misuse the platform or its content in any way not expressly permitted by us.
2. Free Trial & Subscription Plans
2.1 Free Trial
• New users are eligible for a 14-day free trial, during which you can evaluate the platform.
• Some features may be limited during the trial.
• After 14 days, your subscription will automatically be suspended unless you purchase a paid subscription.
• Subscription plans and their features are described on our Pricing page.
• Subscriptions are billed in advance on a recurring basis.
• Unless cancelled, subscriptions renew automatically at the end of each billing cycle.
• Paid subscriptions are non-refundable (see Section 8).
• We may change pricing and plan features at any time, with notice before your next billing cycle.
3. User Obligations
You agree and warrant that:
• You are at least 18 years old and authorized to act on behalf of a legitimate business.
• You will use RaylexFlow only for lawful purposes in compliance with Nigerian law.
• You will not send spam, fraud, hate speech, or promote illegal products or activities.
• You will keep your login credentials secure and not share them with unauthorized persons.
• You will not misuse the free trial or promotional offers.
4. Administrative Users
We may issue you one or more administrator accounts (“Admin Accounts”), allowing you to create additional user accounts for your employees or contractors (“Administrative Users”).
You are responsible for:
• Ensuring the number of users does not exceed your subscription plan.
• All actions and omissions of Administrative Users.
• Ensuring all users comply with these Terms.
5. Content & Data
5.1 Ownership & Responsibility
• You retain ownership of the content and data (“User Data”) you submit to the platform.
• You grant us a license to host, process, and transmit your data solely to deliver our services and improve the platform.
• You are responsible for ensuring you have the necessary rights and consents to use and upload your data.
• You are responsible for backing up your data, we are not liable for loss of data.
5.2 Privacy & Processing
We process your data in accordance with our Privacy Policy. We may aggregate anonymized data for analytical and improvement purposes.
6. AI Features
• AI-generated outputs may not always be accurate or suitable for all purposes.
• You are responsible for reviewing AI content before acting on it.
• Do not use AI to make sensitive decisions (e.g., employment, credit, housing, legal) without verification.
7. Payment Terms
• You agree to pay all subscription fees and applicable taxes in advance.
• Prices are exclusive of taxes and third-party fees (e.g., WhatsApp API fees).
• If your payment fails or is overdue, we may suspend your account and charge late fees.
8. Refund Policy
• All paid subscriptions, overages, and additional charges are non-refundable, unless otherwise required by Nigerian law.
• We do not issue refunds or credits for:
• Partial subscription periods
• Downgrades
• Unused features
We encourage you to use the 14-day free trial before subscribing.
9. Disputed Invoices
• If you believe you were incorrectly charged, you must notify us in writing at support@raylexflow.com.ng or Create a Ticket within 7 days of the invoice date.
• Clearly state the disputed amount and reason for dispute.
• We will investigate in good faith and aim to resolve disputes within 15 business days.
• You must pay the undisputed portion of the invoice by its due date.
• Please note:
Disputes raised for the purpose of obtaining a refund of paid subscription fees (contrary to Section 8) will not be granted. Refund requests through the dispute process are expressly excluded and will not be accepted.
• Disputes not raised within 7 days are deemed waived.
10. Excess Usage & Additional Services
• Subscription plans have usage limits (e.g., messages, users, storage).
• If you exceed your plan limits (“Overages”), you agree to pay additional charges.
• We may restrict access or suspend your account if overages remain unpaid.
11. Third-Party Services & Fees
• You are responsible for fees charged by third-party services you use alongside RaylexFlow (e.g., WhatsApp API fees, SMS charges).
• We are not responsible for failures or delays caused by third-party services beyond our control.
12. Maintenance & Updates
• We may perform scheduled or unscheduled maintenance, updates, or upgrades to improve the platform.
• These activities may cause temporary disruptions, which we aim to minimize.
• We may add, change, or discontinue features at our discretion.
13. Data Retention & Deletion
• Upon account closure, your data may be permanently deleted after a reasonable retention period.
• You are responsible for exporting your data before your account is closed.
• We are not obligated to retain data beyond the retention period.
14. Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to:
• Natural disasters
• Internet outages
• Strikes or labor disputes
• Government actions
• Acts of war or terrorism
15. Limitation of Liability
We are not liable for:
• Indirect, incidental, or consequential damages
• Loss of profits, business, or data
• Damages beyond the fees you paid in the preceding 12 months
Use of the platform is at your own risk.
16. Late Payment
• If your payment is overdue:
• We may charge late fees (e.g., 1.5% per month or the maximum allowed by Nigerian law).
• We may suspend or limit access until payment is received.
• Continued non-payment may lead to account termination.
17. Termination
• We may suspend or terminate your account without prior notice if you violate these Terms.
• You may stop using the platform and cancel your subscription at any time.
• Upon termination, your license ends and we may delete your data.
18. Governing Law & Dispute Resolution
• These Terms are governed by the laws of the Federal Republic of Nigeria.
• We encourage resolving disputes amicably.
• If unresolved, disputes may be referred to arbitration in Nigeria under applicable rules.
• Any disputes solely aimed at refunding paid subscriptions (contrary to Section 8) will not be entertained through the dispute process.
19. Changes to Terms & Service
• We may update these Terms or modify the platform at any time.
• Updated Terms will be posted at https://raylexflow.com.ng, and continued use means you accept the changes.
